Limited Warranty for Santech Solutions™ Products (U.S. Only)

Santech Solutions™ hardware products purchased in the U.S. come with a one-year limited warranty

This limited warranty covers defects in materials and workmanship in your — our end-user customer's — Santech Solutions™ hardware products, including Santech Solutions™ peripheral products.

This limited warranty does not cover:

Software, including the operating system and software added to the Santech Solutions™ hardware products through our factory-integration system, third-party software, or the reloading of software
Non- Santech Solutions™ products and accessories
Problems that result from:

External causes such as accident, abuse, misuse, or problems with electrical power

Servicing not authorized by us

Usage that is not in accordance with product instructions

Failure to follow the product instructions or failure to perform preventive maintenance

Problems caused by using accessories, parts, or components not supplied by us

Products with missing or altered service tags or serial numbers
Products for which we have not received payment

THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE (OR JURISDICTION TO JURISDICTION). Santech Solutions™ RESPONSIBILITY FOR MALFUNCTIONS AND DEFECTS IN HARDWARE IS LIMITED TO REPAIR AND REPLACEMENT AS SET FORTH IN THIS WARRANTY STATEMENT. ALL EXPRESS AND IMPLIED WARRANTIES FOR THE PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED IN TIME TO THE TERM OF THE LIMITED WARRANTY PERIOD REFLECTED ON YOUR PACKING SLIP OR INVOICE. NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, WILL APPLY AFTER THE LIMITED WARRANTY PERIOD HAS EXPIRED. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LAST, SO THIS LIMITATION MAY NOT APPLY TO YOU.

WE DO NOT ACCEPT LIABILITY BEYOND THE REMEDIES PROVIDED FOR IN THIS LIMITED WARRANTY OR FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING, WITHOUT LIMITATION, ANY LIABILITY FOR THIRD-PARTY CLAIMS AGAINST YOU FOR DAMAGES, FOR PRODUCTS NOT BEING AVAILABLE FOR USE, OR FOR LOST DATA OR LOST SOFTWARE. OUR LIABILITY WILL BE NO MORE THAN THE AMOUNT YOU PAID FOR THE PRODUCT THAT IS THE SUBJECT OF A CLAIM. THIS IS THE MAXIMUM AMOUNT FOR WHICH WE ARE RESPONSIBLE.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

The limited warranty begins on the date of the packing slip or invoice. The warranty period is not extended if we repair or replace a warranted product or any parts. Santech Solutions™ may change the availability of limited warranties, at its discretion, but any changes will not be retroactive.

 

Before the warranty expires, please call us at 619-941-1746. Please also have your Santech Solutions™ service tag number or order number available.

During the first year of all limited warranties, we will repair Santech Solutions™ hardware products returned to us that prove to be defective in materials or workmanship. If we are not able to repair the product, we will replace it with a comparable product that is new or refurbished.

When you contact us, we will issue a Return Material Authorization Number for you to include with your return. You must return the products to us in their original or equivalent packaging, prepay shipping charges, and insure the shipment or accept the risk if the product is lost or damaged in shipment. We will return the repaired or replacement products to you. We will pay to ship the repaired or replaced products to you if you use an address in the United States (excluding Puerto Rico and U.S. possessions and territories). Otherwise, we will ship the product to you freight collect.

If we determine that the problem is not covered under this warranty, we will notify you and inform you of service alternatives that are available to you on a fee basis.

Note: Before you ship the product(s) to us, make sure to back up the data on the hard drive(s) and any other storage device(s) in the product(s). Remove any confidential, proprietary or personal information, removable media, such as floppy disks, CDs, or PC Cards. We are not responsible for any of your confidential, proprietary or personal information; lost or corrupted data; or damaged or lost removable media.

We value our relationship with you and want to make sure that you're satisfied with your purchases. That's why we offer a "Complete Satisfaction" return policy for most products that you-the end-user customer-purchase directly from Santech Solutions™. Under this policy, you may return to Santech Solutions™ products that you purchased directly from Santech Solutions™ for a credit or a refund of the purchase price paid, less shipping and handling and applicable return fees as follows:

New Hardware Products and Accessories:  All new hardware, accessories, parts, and unopened software still in its sealed package, may be returned within thirty (30) days from the date on the packing slip or invoice. To return applications software or an operating system that has been installed by Santech Solutions™, you must return the entire computer. A different return policy applies to non-defective products purchased through Santech Solutions™. Those products may be returned within thirty days from the date on the packing slip or invoice, but a fifteen percent (15%) return fee will be deducted from any refund or credit.

To return products, e-mail or call Santech Solutions™ customer service to receive a Credit Return Authorization Number within the return policy period applicable to the product you want to return. You must obtain a Credit Return Authorization Number in order to return the product. You must ship the products to Santech Solutions™ within five days of the date that Santech Solutions™ issues the Credit Return Authorization Number. You must also return the products to Santech Solutions™ in their original packaging, in as-new condition along with any media, documentation, and all other items that were included in the original shipment, prepay shipping charges, and insure the shipment or accept the risk of loss or damage during shipment.

Note: Before you ship the product(s) to us, make sure to back up the data on the hard drive(s) and any other storage device(s) in the product(s). PLEASE READ THIS DOCUMENT CAREFULLY! IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU. THIS DOCUMENT CONTAINS A DISPUTE RESOLUTION CLAUSE.

This Agreement contains the terms and conditions that apply to purchases from Santech Solutions™ entity named on the invoice ("Santech Solutions™ ") that will be provided to you ("Customer") on orders for computer systems and/or related products and/or services and support sold by Santech Solutions™ in the United States. By accepting delivery of the computer systems, other products and/or services and support described on that invoice, Customer agrees to be bound by and accepts these terms and conditions. If for any reason you are not satisfied with your Santech Solutions™ hardware system, you may return the system under the terms and conditions of Santech Solutions™ "Complete Satisfaction Return Policy", THESE TERMS AND CONDITIONS APPLY (I) UNLESS THE CUSTOMER HAS SIGNED A SEPARATE PURCHASE AGREEMENT WITH Santech Solutions™, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN; OR (II) UNLESS OTHER Santech Solutions™ STANDARD TERMS APPLY TO THE TRANSACTION.

These terms and conditions are subject to change without prior written notice at any time, in Santech Solutions™ sole discretion.

1.       Other Documents.  Other than as specifically provided in any separate formal purchase agreement between Customer and Santech Solutions™, these terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for product(s) which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Customer and Santech Solutions™.

2.       Governing Law. THIS AGREEMENT AND ANY SALES HEREUNDER SHALL BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO CONFLICTS OF LAWS RULES. 

3.       Payment Terms; Orders; Quotes; Interest.  Terms of payment are within Santech Solutions™ sole discretion, and unless otherwise agreed to by Santech Solutions™, Santech Solutions™ must receive payment prior to Santech Solutions™ acceptance of an order. Payment for the products and services and support may be made by wire transfer, or some other prearranged payment method unless Santech Solutions™ has agreed to credit terms. Invoices are due and payable within the time period noted on the invoice, measured from the date of the invoice. Santech Solutions™ may invoice parts of an order separately. Orders are not binding upon Santech Solutions™ until accepted by Santech Solutions™. Any quotations given by Santech Solutions™ will be valid for the period stated on the quotation. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.

4.       Shipping Charges; Taxes.  Separate charges for shipping and handling will be shown on the invoice(s). Unless Customer provides Santech Solutions™ with a valid and correct tax exemption certificate applicable to the product ship-to location prior to Santech Solutions™ acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order. If applicable, a separate charge for taxes will be shown on the invoice.

5.       Title; Risk of Loss.  Title to products passes from Santech Solutions™ to Customer on shipment from Santech Solutions™ facility. Loss or damage that occurs during shipping by a carrier selected by Santech Solutions™ is Santech Solutions™ responsibility. Loss or damage that occurs during shipping by a carrier selected by Customer is Customer's responsibility. Title to software will remain with the applicable licensor(s).

6.       Warranties.  THE LIMITED WARRANTIES APPLICABLE TO Santech Solutions™ PRODUCTS ARE INCLUDED IN THE DOCUMENTATION PROVIDED WITH THE PRODUCTS.. THERE ARE NO WARRANTIES FOR SERVICES. Santech Solutions™ MAKES NO EXPRESS WARRANTIES EXCEPT THOSE STATED IN Santech Solutions™APPLICABLE WARRANTY STATEMENT IN EFFECT ON THE DATE OF THE INVOICE. ANY SUCH WARRANTIES WILL BE EFFECTIVE, AND Santech Solutions™ WILL BE OBLIGATED TO HONOR ANY SUCH WARRANTIES, ONLY UPON Santech Solutions™ RECEIPT OF PAYMENT IN FULL FOR THE ITEM TO BE WARRANTED.

7.       Software.  All software is provided subject to the license agreement that is part of the package. Customer agrees that it will be bound by the license agreement once the package is opened or its seal is broken. Santech Solutions™ does not warrant any software under this Agreement. Warranties, if any, for the software are contained in the license agreement that governs it purchase and use.

8.       Return Policies.  Santech Solutions™ hardware systems and parts that are purchased directly from Santech Solutions™ by an end-user Customer may be returned by Customer in accordance with Santech Solutions™ "Complete Satisfaction Return Policy" in effect on the date of the invoice Santech Solutions™ "Complete Satisfaction Return Policy" included in the documentation provided with the Santech Solutions™ systems.

9.       Exchanges.  From time to time, Santech Solutions™ may, in its sole discretion, exchange products or portions of a product. Any exchanges will be made in accordance with Santech Solutions™ exchange policies in effect on the date of the exchange.

10.    Products.  Santech Solutions™ continually upgrades and revises its products and service offerings to provide Santech Solutions™ customers with new products and service offerings. Santech Solutions™ may revise and discontinue products at any time without prior notice to customers. Santech Solutions™ will ship products that have the functionality and performance of the products ordered, but changes between what is shipped and what is described in a specification sheet or catalog are possible. The parts and assemblies used in building Santech Solutions™ products are selected from new and equivalent-to-new parts and assemblies in accordance with industry practices. Spare parts may be new or reconditioned. The quoted Santech Solutions™ SKU numbers for Santech Solutions™ hardware products are of the quantity specified by Santech Solutions™ and conform in all material respects with the Santech Solutions™ product specifications current on the date such products were shipped.

11.    Santech Solutions™ Software and Peripherals Products.  Any warranty and technical support provided on third-party products purchased through Santech Solutions™ Software and Peripherals Division are provided by the original manufacturer and not by Santech Solutions™. These products may be returned only in accordance with the return policy in effect on the date of invoice. The warranties and technical support may vary from product to product. Santech Solutions™ products purchased through Santech Solutions™ Software and Peripherals Division carry the same warranty terms as described in Section 6, Warranties, above. For all Customers, all non-defective products purchased through Santech Solutions™ Software and Peripherals Division that are returned to Santech Solutions™ are subject to a fifteen percent (15%) restocking fee.

12.    Limitation of Liability.  Santech Solutions™ DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING ANY LIABILITY FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR FOR LOST OR CORRUPTED DATA OR SOFTWARE, OR THE PROVISION OF SERVICES AND SUPPORT Santech Solutions™ WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN. CUSTOMER AGREES THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES BUNDLED WITH THE PRODUCTS, Santech Solutions™ IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE DOLLAR AMOUNT PAID BY CUSTOMER FOR THE PURCHASE OF PRODUCTS OR SERVICES UNDER THIS AGREEMENT.

13.    Binding Arbitration.  ANY CLAIM, DISPUTE, OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PREEXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, COMMON LAW, INTENTIONAL TORT AND EQUITABLE CLAIMS) AGAINST Santech Solutions™, its agents, employees, successors, assigns or affiliates (collectively for purposes of this paragraph, " Santech Solutions™ l") arising from or relating to this Agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this Agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatories to this Agreement), Santech Solutions™ advertising, or any related purchase SHALL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION. The arbitration will be limited solely to the dispute or controversy between Customer and Santech Solutions™. Any award of the arbitrator(s) shall be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction.

14.    Applicable Law; Not For Resale or Export.  Customer agrees to comply with all applicable laws and regulations of the various states and of the United States. Customer agrees and represents that it is buying for its own internal use only, and not for resale or export. Santech Solutions™ has separate terms and conditions governing resale and transactions outside the United States.

15.    Service and Support.  Santech Solutions™ will provide general technical support to Customer in the United States, in accordance with the then-current technical support policies in effect. Service offerings may vary from product to product.  Santech Solutions™ and/or the third-party service provider may, at their discretion, revise their general service and support programs and the terms and conditions that govern them. The support programs and their terms and conditions in place at the time or purchase will apply to Customer's purchase. Santech Solutions™ has no obligation to provide service or support until Santech Solutions™ has received full payment for the product or service/support contract for which service or support is requested.
